General terms and conditions of business

1. Scope

These General Terms and Conditions (GTC) apply to all offers, services, training, education, courses, online formats, product offers and additional services from UNEW Beauty Couture AG in connection with Nouveau Lashes Germany and Austria.

These General Terms and Conditions apply to offers via UNEW Beauty Couture AG websites as well as to individually agreed services, unless different written agreements have been made.

Additional or different conditions may apply to individual online shops, platforms or brand offers. Such specific conditions take precedence over these General Terms and Conditions to the extent that they are expressly agreed or communicated in the specific offer.

These General Terms and Conditions only apply to consumers to the extent that there are no mandatory legal provisions to the contrary.

2. Contracting parties and customer groups

The contractual partner is UNEW Beauty Couture AG, Sinserstrasse 8, 6330 Cham, Switzerland.

The offers are aimed at both business customers (B2B) and private customers (B2C).

Business customers are natural or legal persons who, when concluding the contract, act in the exercise of their commercial, professional or self-employed activity, in particular studios, beauty specialists, dealers, entrepreneurs and professional users.

Private customers are people who act for purposes that cannot primarily be attributed to their commercial or self-employed professional activity.

Provisions that expressly concern professional use, resale, B2B trade, commercial use or trained users apply exclusively to business customers.

3. Subject of the contract

UNEW provides services, in particular training, education, training, consulting and additional services. In addition, products, starter kits, devices, technical products and professional systems can be offered or brokered.

Depending on the subject matter of the contract, different provisions apply, in particular with regard to booking, payment, cancellation, return, warranty, application, liability and use of content.

What is decisive is the specific offer, the booking confirmation, invoice, order confirmation or the service description communicated in the respective context.

4. Conclusion of contract

A contract is concluded upon confirmation of a booking, order, inquiry or assignment by UNEW.

UNEW is entitled to reject bookings or orders or to make them dependent on additional information, evidence, qualifications or requirements.

This applies in particular to training courses, professional products, electronic devices, protected brand systems, starter kits or services that are only intended for certain customer groups or trained users.

The presentation of offers on websites, in price lists or communication media does not constitute a legally binding offer, but rather an invitation to inquire, book or order, unless expressly stated otherwise.

5. Prices and VAT

All prices are stated in Swiss francs (CHF), unless another currency is expressly stated.

For business customers (B2B), prices are exclusive of VAT unless expressly stated otherwise.

For private customers (B2C), especially in the context of consumer offers or end customer platforms, prices include VAT, if such is owed.

The price stated or confirmed at the time of conclusion of the contract is decisive.

Price changes, errors, typographical errors, technical errors and changes to offers remain reserved.

6. Payment

Payment is made according to the payment methods offered as part of the order, booking, invoice or order confirmation.

Unless otherwise agreed, invoices are payable without deductions within 10 days of the invoice date.

UNEW can reserve, withhold, postpone or release services, training places, deliveries or appointments until full payment has been made.

In the event of late payment, UNEW is entitled to claim default interest of up to 5% per year, reminder fees and other costs of legal prosecution, debt collection or enforcement.

The customer is responsible for all costs associated with late payments, chargebacks, debt collection or legal enforcement.

7. Creditworthiness and payment check

UNEW can carry out a credit check or payment check for orders, bookings, deliveries on account or other services with advance payment, insofar as this is necessary for contract processing, risk assessment or the enforcement of legitimate interests.

For this purpose, payment and contract-related information can be processed and, if necessary, transmitted to payment service providers, debt collection service providers, credit information centres or other third parties involved in processing.

UNEW is entitled to refuse certain types of payment, to demand advance payment, to withhold deliveries or to only provide services after receipt of payment.

The processing of personal data in connection with payment and credit checks is based on the applicable data protection declaration.

8. Retention of title

Delivered products, devices, starter kits and other goods remain the property of UNEW Beauty Couture AG until full payment has been made.

UNEW is entitled to make a corresponding entry in the retention of title register, provided this is legally required or appropriate.

9. Delivery, collection and transfer of risk

Delivery dates and delivery periods are non-binding unless they have been expressly confirmed as binding in writing.

Deliveries are made to the Address specified by the customer. The customer is responsible for complete and correct delivery information.

When the goods are handed over to the transporter, the benefits and risks are transferred to the customer, to the extent permitted by law.

When collecting the goods, the benefits and risks pass to the customer upon handover at the UNEW location or at the agreed collection point.

Delivery delays due to availability, manufacturer information, transport problems, official requirements or force majeure do not automatically give rise to claims for damages.

10. Obligation to inspect and report defects

The customer is obliged to check delivered products, devices, starter kits and other goods immediately upon receipt.

Obvious defects, incorrect deliveries or transport damage must be reported to UNEW in writing within 5 calendar days of receipt.

If defects are not reported in a timely manner, the products are deemed to have been approved, to the extent permitted by law.

Hidden defects must be reported in writing immediately after discovery.

11. Training, education and certificates

Training and education impart knowledge and skills for the professional use of Nouveau Lashes systems and related professional nail, beauty and cosmetic systems.

Depending on the training, previous knowledge, qualifications, a minimum age, an existing professional activity, certain product requirements or other requirements may be required.

UNEW may request appropriate evidence and refuse participation if requirements are not met.

A certificate will only be issued upon full participation and successful fulfillment of the training-specific requirements.

Training dates, course places and booked training services are binding.

UNEW does not guarantee that participants will achieve a specific economic result, quality of treatment, number of customers, approval, professional recognition or self-employment after training.

12. Cancellation, rebooking and no-show at training courses

The following cancellation conditions apply to training, education, courses, training, master classes and comparable formats, unless otherwise stated in the specific offer:

• 100% refund if cancelled up to 30 calendar days before the appointment.
• 50% refund if cancelled up to 15 calendar days before the appointment.
• No refunds if cancelled less than 15 calendar days before the appointment.

In the event of a no-show without timely cancellation, the booked amount will be charged in full.

A replacement participant can be provided provided the necessary requirements are met and UNEW agrees in advance in writing.

UNEW can postpone dates for important reasons, in particular illness, too few participants, delivery problems, absence of trainers, official requirements or force majeure. In this case, amounts already paid will be credited towards an alternative date or refunded if no alternative date is reached.

13. Online training and digital content

Online training, digital learning content, documents, videos, presentations, scripts and other digital content may only be used by the registered or authorized person.

Access data may not be passed on.

Digital content, videos, presentations, training materials, concepts, texts, images and methods may not be reproduced, published, passed on, sold, used for your own training activities or made available to third parties without the written consent of UNEW.

After digital content has been provided or access has been activated, a refund is excluded to the extent permitted by law.

14. Products, starter kits and professional systems

Products, starter kits, devices or professional systems can be offered as part of training courses, websites, consultations or additional offers.

The sale or use of certain products may be limited to business customers, trained users, qualified specialists or certain customer groups.

Product images, descriptions and information are for orientation purposes. The relevant manufacturer information, application instructions, safety information, ingredients and warnings are binding.

The customer is obliged to store and use products properly and only use them as intended.

15. Importer, distributor and cosmetics legal responsibility

UNEW Beauty Couture AG is a distributor and importer of Nouveau Lashes products for Switzerland.

The following applies to Switzerland and Austria: Importer: UNEW Beauty Couture AG.

The EU Responsible Person applies: MedNet EC-REP GmbH, Borkstrasse 10, 48163 Münster, Germany.

The cosmetic products are registered under the EU Cosmetics Regulation via the Cosmetic Products Notification Portal (CPNP).

Professional users are obliged to comply with all manufacturer instructions, safety information, labeling requirements, product information and application specifications.

16. Returns, exchanges and hygiene products

Returns will only be made with the prior written consent of UNEW.

The customer bears the costs and risk of return shipping unless otherwise expressly agreed or mandatory legal provisions conflict with this.

Opened, used, unsealed, damaged, incomplete or unmarketable products for hygienic reasons are generally excluded from return, exchange and refund, to the extent permitted by law.

UNEW reserves the right to refuse returns or charge a reasonable processing fee.

A general right of return or cancellation only exists if it is mandatory by law or has been expressly granted in the specific offer.

17. Warranty and Guarantee

17.1 Training and training services

No guarantee for specific results is assumed for training, education or the application of the content conveyed.

Application results depend in particular on individual factors such as specialist knowledge, experience, initial situation, correct application, product storage, customer characteristics and professional implementation.

17.2 Cosmetic products to business customers (B2B)

For business customers, the warranty is excluded to the extent permitted by law.

In particular, there are no claims for return, exchange, reduction or compensation, except in the case of demonstrably significant defects that were reported in a timely and correct manner.

In such cases, UNEW may, at its own discretion, provide a replacement, offer repairs or grant a credit.

17.3 Cosmetic products to private customers (B2C)

The statutory warranty provisions apply to private customers, where applicable.

Opened, used or unsealed products are not eligible for return or exchange to the extent permitted by law.

A guarantee for individual tolerability, effect, durability, treatment results or subjective expectations is excluded to the extent permitted by law.

17.4 Electronic devices and technical products

A warranty period of 12 months from delivery applies to electronic devices and technical products, unless expressly agreed otherwise.

The warranty only covers defects that are due to material or manufacturing errors.

In particular, wear parts, improper use, lack of maintenance, external influences, use contrary to the manufacturer's instructions and interventions by unauthorized persons are excluded from the warranty.

UNEW is entitled, at its own discretion, to carry out repairs, to deliver a replacement or to grant an appropriate credit.

17.5 Manufacturer’s warranties

If there is a manufacturer's guarantee for products or devices, this will be processed according to the conditions of the respective manufacturer.

UNEW does not provide any independent guarantee in the legal sense unless such has been expressly guaranteed in writing.

18. Professional responsibility, application and legal requirements

The responsibility for the professional use of products, devices, techniques and training content lies with the respective user.

Business customers and professional users are responsible for compliance with legal, cosmetics law, hygiene, labor law, safety-related and job-related requirements.

Training content does not replace your own examination of legal requirements, product information, manufacturer information, safety data, labeling requirements or application restrictions.

19. Resale and own training activities

The resale of professional products or the use of products, brand systems, concepts or training content for your own training is only permitted with the express written consent of UNEW or the respective brand owner.

The passing on of training documents, concepts, presentations, training content, methods, access data or digital content to third parties is prohibited without prior written consent.

Trademark rights, copyrights, product concepts, training concepts and other intellectual property rights remain reserved.

20. Copyright and rights of use

All UNEW content, including but not limited to texts, images, videos, presentations, training materials, concepts, branding, digital content and website content, are protected by copyright or otherwise.

Any use, reproduction, publication, processing, distribution or commercial exploitation is only permitted with the prior written consent of UNEW.

Participating in a training course or purchasing a product does not transfer any rights to trademarks, training concepts, documents or other intellectual property rights.

21. Ratings, comments and testimonials

UNEW may enable customers to submit ratings, comments, testimonials, photos or other content about products, training or services.

The customer confirms that submitted content is truthful, does not violate the rights of third parties, does not contain any illegal, defamatory, discriminatory or misleading content and does not disclose any confidential information of third parties.

UNEW is entitled to review, shorten, not publish or remove reviews, comments or other content if there are objective reasons.

By submitting reviews, comments, testimonials, images or other content, the customer grants UNEW a non-exclusive, spatially and temporally unrestricted right of use to use this content in connection with UNEW's offers, websites, social media channels and marketing measures, to the extent permitted by law and no legitimate interests conflict with it.

22. Liability

UNEW is liable exclusively for intent and gross negligence, to the extent permitted by law.

Liability for indirect damages, consequential damages, lost profits, loss of production, damage to reputation, treatment results, application errors, economic losses or damages from improper use is excluded to the extent permitted by law.

Mandatory legal liability provisions remain reserved.

The customer is liable for damages caused by incorrect information, improper use, breach of obligations to cooperate, passing on access data or improper use.

23. Force Majeure

UNEW is not liable for delays, failures or failures in performance due to events beyond UNEW's control.

These include, in particular, force majeure, illness, accidents, loss of trainers, official orders, delivery failures, transport problems, technical malfunctions, energy failures, pandemics, natural events or other unforeseeable events.

In such cases, services that have already been agreed can be postponed, adjusted or, if no replacement service is possible, reversed.

24. Data Protection

UNEW processes personal data within the framework of applicable data protection regulations.

The current data protection declaration of UNEW Beauty Couture AG applies.

By using offers, services, websites, bookings or orders, the customer acknowledges that personal data may be processed for contract processing, communication, service provision, invoicing, administration and legal documentation.

25. Changes to the Terms and Conditions

UNEW can adjust these terms and conditions at any time.

The version valid at the time the contract is concluded is relevant, unless compelling reasons require a different application.

Changes only apply to existing contractual relationships if they have been agreed or are legally permissible.

26. Choice of Law, International Customers and Place of Jurisdiction

Substantive Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG), as far as applicable.

If offers, deliveries or services are made to customers with their registered office or habitual residence in the European Union or other countries, mandatory statutory consumer protection or data protection provisions of the applicable law remain reserved.

These mandatory provisions only apply to the extent that they cannot be waived by law. Otherwise, Swiss law remains applicable.

Zug, Switzerland, is the exclusive place of jurisdiction for disputes with business customers.

The mandatory statutory places of jurisdiction apply to private customers.

27. Final provisions

If individual provisions of these General Terms and Conditions are or become invalid, incomplete or unenforceable, the effectiveness of the remaining provisions remains unaffected.

Instead of the invalid or unenforceable provision, a regulation is deemed to have been agreed that comes as close as possible to the economic purpose of the original provision, to the extent that this is legally permissible.

Changes, additions and additional agreements must be made in writing unless another form is permitted by law.
